Orange County SEO (hereinafter “OC SEO”) believes in transparent communication with clients in all regards. To that end, OC SEO publishes the following terms of service for clients of OC SEO.
- Provision of services. All services to customers are provided by OC SEO, and OC SEO agrees to use every reasonable effort to provide services for clients according to contracts.
- Consulting and planning. OC SEO agrees to offer advice to clients as to web site activities in the role of consultants. Consultations do not guarantee results.
- Marketing / SEO. OC SEO provides its clients with search engine optimization analysis as well as marketing interpretations. It is understood that OC SEO will provide a fee and services schedule as part of the contract agreement between the parties, but makes no guarantees, either implied or expressed, about the success of a given marketing strategy or campaign.
- Maintenance. Clients may request OC SEO perform maintenance or updates on websites. However, this work will be assessed an extra cost in addition to the normal fees for SEO services. OC SEO may perform alterations or repairs to the client’s website, including updating links, refreshing content, altering graphics and gathering statistics on usage, among other work.
- Additional work. Any additional services beyond the ones contracted between the parties will be additional and will be billed as such. Clients will receive an estimate in writing for any additional work and understand that these fees are assessed in addition to those that are part of the original parties’ agreement.
- Proprietary website content. All web content is the property of the client, excluding any web content on orange-county-seo.com. Content is understood to mean all information on a website including graphics, web pages, text videos and other information of a proprietary nature.
- Licensing. OC SEO receives from the client a non-exclusive and royalty-free license that covers all uses of content as part of the company’s work with the website.
- Expenses. Clients shall pay all expenses not covered by or included in the initial agreement.
- Confidentiality. The client understands that OCSEO may collect confidential information as part of the agreement for services. OCSEO agrees not to share confidential information with any other parties.
- Limited liability clause. OC SEO shall not be held liable for any damages that may arise out of the use or the inability to use services connected to a contract. The client expressly releases OC SEO from all responsibility for losses resulting from the service agreement and from all claims and actions.
- Warranty by client. The client expressly warrants that he, she or it has a right to enter into this agreement and owns all intellectual property shared with OC SEO.
- Payments and default. When a client is more than ten days late with any payment, OC SEO reserves the right to refuse services and to use any legal measures necessary to collect the debt.
- Begin and end dates of agreement. This agreement shall be deemed to be in effect on the day signed and shall end upon termination by either party. If the client chooses to terminate the agreement prior to the completion of all services, the client shall be responsible for paying for all work performed as well as all expenses and extra costs.
